1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and InstaInvoice ("Company", "we", "us", or "our") governing your access to and use of the InstaInvoice platform, including our website, mobile applications, and related services (collectively, the "Service").

By registering for an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy.

If you do not agree to these Terms, you must not access or use the Service.

2. Service Description

InstaInvoice provides an online invoicing and financial management platform designed for freelancers, small businesses, and service providers operating in Papua New Guinea. Our Service includes:

• Invoice and quote creation, customization, and management
• Payment request generation and tracking
• Client and product database management
• Expense tracking and categorization
• Financial reporting and analytics (Profit & Loss, Balance Sheet, Cash Flow)
• Multi-currency support for PNG Kina and international currencies
• PDF export and document generation
• Subscription management and billing

3. Eligibility and Account Registration

3.1 Eligibility

To use InstaInvoice, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Operate a legitimate business or provide freelance services
• Comply with all Papua New Guinea business registration and tax requirements
• Not be prohibited from using the Service under PNG or international law

3.2 Account Registration

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized access or security breaches

3.3 Account Security

You are solely responsible for maintaining the security of your account and password. InstaInvoice will not be liable for any loss or damage resulting from your failure to protect your account credentials.

5. Subscription Plans and Billing

5.1 Free Trial

New users receive a 14-day free trial with full access to all features. No credit card is required during the trial period. The trial automatically expires after 14 days unless you subscribe to a paid plan.

5.2 Subscription Plans

InstaInvoice offers the following subscription plans:

• Starter Plan: K49/month - Up to 10 invoices per month, basic features
• Professional Plan: K99/month - Unlimited invoices, advanced reporting, priority support
• Business Plan: K199/month - All Professional features plus multi-user access, API access, custom branding

All prices are in Papua New Guinea Kina (PGK) and exclude applicable taxes unless otherwise stated.

5.3 Billing and Payment

• Subscriptions are billed monthly in advance
• Payments are processed on the anniversary date of your subscription
• You authorize us to charge your payment method for all subscription fees
• Failed payments may result in service suspension after a grace period
• All fees are non-refundable except as required by law or stated in these Terms

5.4 Plan Changes and Cancellation

• You may upgrade or downgrade your plan at any time through your account settings
• Upgrades take effect immediately; downgrades take effect at the next billing cycle
• You may cancel your subscription at any time with no cancellation fees
• Upon cancellation, you retain access until the end of your current billing period
• No refunds are provided for partial months or unused portions of your subscription

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, is owned by InstaInvoice and is protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes in accordance with these Terms.

6.2 Your Content

You retain all ownership rights to the content you create, upload, or store on InstaInvoice, including:

• Invoices, quotes, and payment requests
• Client and product information
• Business logos and branding materials
• Financial data and reports

By using the Service, you grant us a limited license to use, store, process, and display your content solely for the purpose of providing and improving the Service.

7. Data Protection and Privacy

InstaInvoice is committed to protecting your privacy and complying with Papua New Guinea data protection laws and BPNG regulations. Our collection, use, and protection of your personal and financial information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy commitments:

• We will never sell your personal or financial data to third parties
• All data is encrypted in transit and at rest using industry-standard protocols
• Financial records are retained for a minimum of 7 years as required by BPNG
• You have the right to access, correct, or delete your personal information
• We maintain comprehensive security measures to protect against unauthorized access

8. BPNG Compliance and Financial Regulations

8.1 Record Keeping Requirements

In accordance with BPNG regulations, we maintain:

• Complete transaction records for a minimum of 7 years
• Audit trails for all financial activities
• Secure backup systems for data preservation
• Compliance documentation readily available for regulatory review

8.2 User Responsibilities

As a user of financial services, you are responsible for:

• Ensuring all invoices and financial records are accurate and legitimate
• Complying with PNG tax laws and reporting requirements
• Maintaining proper business registration and licensing
• Reporting suspicious activities or potential fraud
• Cooperating with regulatory inquiries or audits

8.3 Regulatory Cooperation

We reserve the right to report suspicious activities to BPNG and other relevant authorities as required by law. We may also suspend or terminate accounts that violate financial regulations or engage in prohibited activities.

9. Service Availability and Modifications

9.1 Service Availability

While we strive to provide continuous service availability, we do not guarantee that the Service will be available at all times or without interruption. The Service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Emergency repairs or security patches
• Technical difficulties or infrastructure failures
• Third-party service provider outages
• Force majeure events beyond our control

9.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service.

10. Limitation of Liability

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or K500, whichever is greater.

We are not liable for:

• Errors or inaccuracies in your invoices, quotes, or financial records
• Payment disputes between you and your clients
• Tax obligations or compliance with PNG tax laws
• Loss of business opportunities or client relationships
• Unauthorized access to your account due to compromised credentials
• Third-party actions, services, or content

11. Indemnification

You agree to indemnify, defend, and hold harmless InstaInvoice, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your infringement of third-party rights
• Any content you create, upload, or share through the Service
• Disputes between you and your clients or third parties

12. Termination

12.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or contacting our support team. Upon termination, you will retain access until the end of your current billing period.

12.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without notice, if:

• You violate these Terms or our Acceptable Use Policy
• Your account is involved in fraudulent or illegal activities
• You fail to pay subscription fees when due
• Your use of the Service poses a security risk
• We are required to do so by law or regulatory authority

12.3 Effect of Termination

Upon termination:

• Your access to the Service will cease immediately
• You may export your data for 30 days after termination
• We will retain your data as required by BPNG regulations (7 years for financial records)
• All outstanding fees become immediately due and payable
• Sections of these Terms that should survive termination will remain in effect

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal proceedings, we encourage you to contact us at [email protected] to resolve disputes informally. We commit to working in good faith to reach a mutually satisfactory resolution.

13.2 Governing Law

These Terms are governed by and construed in accordance with the laws of Papua New Guinea. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Papua New Guinea.

13.3 Arbitration

For disputes that cannot be resolved informally, both parties agree to submit to binding arbitration in Port Moresby, Papua New Guinea, in accordance with PNG arbitration laws and procedures.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and InstaInvoice regarding the Service and supersede all prior agreements and understandings.

14.2 Amendments

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
